Terms of Service

1. Acceptance of Terms

By accessing or using NITGENIUS (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

NITGENIUS is a business management platform that provides tools including but not limited to: online storefront management, customer relationship management (CRM), order and inventory management, analytics and reporting, billing and subscription management, and industry-specific workflow templates. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Accounts and Registration

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at hello@nitgenius.com of any unauthorised use of your account. NITGENIUS will not be liable for any loss or damage arising from your failure to protect your account credentials. You may not use another person's account without their express written permission.

4. Subscriptions and Billing

Some features of the Service require a paid subscription. All subscription fees are billed in advance on a monthly or annual basis, as selected by you. Subscriptions automatically renew unless cancelled before the renewal date. You authorise us to charge your payment method on the billing date. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to change subscription fees on 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price. If your payment fails, we may suspend or terminate your access to paid features. New subscriptions may be subject to a pending review period ("PENDING" status) before activation.

5. Cancellation and Termination

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period; you will retain access until then. We reserve the right to terminate or suspend your account immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately. We may retain your data for a period of 30 days after termination to allow data export, after which we may permanently delete it.

6. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe any intellectual property rights; (c) transmit any harmful, offensive, or unlawful content; (d) distribute spam, malware, or other malicious code; (e) attempt to gain unauthorised access to any system or network; (f) interfere with or disrupt the integrity or performance of the Service; (g) collect or harvest any personally identifiable information from the Service; (h) impersonate any person or entity; or (i) use the Service for any purpose that competes with NITGENIUS without our express written consent.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of NITGENIUS Pvt Ltd and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You retain ownership of any content you upload to the Service ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display that content solely as necessary to provide the Service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We encourage you to read the Privacy Policy carefully before using the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. WHILE WE AIM FOR A 99.9% UPTIME SLA ON PAID PLANS, THIS IS A TARGET AND NOT A GUARANTEE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NITGENIUS PVT LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless NITGENIUS Pvt Ltd, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" above. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
